1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("User" or "You"), and Aarya SoftEx (referred to as "Company," "We," "Us," or "Our"), concerning your access to and use of the Voxup web application and related services (collectively, the "Application").

By accessing or using the Application, you agree that you have read, understood, and agree to be bound by all of these Terms and the Voxup Privacy Policy. If you do not agree with all of these Terms, then you are expressly prohibited from using the Application and must discontinue use immediately.

2. Intellectual Property Rights

2.1 Our Content

Unless otherwise indicated, the Application is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Application (collectively, the "Content") and the trademarks, service marks, and logos contained therein ("Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

2.2 Limited License

Provided that you are eligible to use the Application, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Application for your personal, non-commercial use only. We reserve all rights not expressly granted to you in and to the Application, the Content, and the Marks.

3. User Representations and Prohibited Activities

3.1 Eligibility

By using the Application, you represent and warrant that you are at least 18 years of age. If you are a minor, you must have your parent or legal guardian read and agree to these Terms before using the Application.

3.2 Prohibited Activities

You may not access or use the Application for any purpose other than that for which we make the Application available. Specifically, you agree not to:

• Systematically retrieve data or other content from the Application to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Make any unauthorized use of the Application, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or false pretenses.
• Circumvent, disable, or otherwise interfere with security-related features of the Application, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Application and/or the Content contained therein.
• Engage in unauthorized framing of or linking to the Application.
• Use the Application to advertise or offer to sell goods and services, or transmit any chain letters, junk mail, or spam.
• Engage in any criminal or tortious activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, or copyright infringement.
• Delete the copyright or other proprietary rights notice from any Content.

4. User-Generated Contributions (UGC)

4.1 License Grant

The Application may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Application, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, "Contributions").

By creating or making available any Contributions, you grant us a perpetual, non-exclusive, worldwide, royalty-free, fully paid, transferable, and sublicensable license to host, use, copy, distribute, display, and perform your Contributions in connection with the Application and our (and our successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Application (and derivative works thereof) in any media formats and through any media channels.

4.2 Content Responsibility

You are solely responsible for your Contributions and you agree that any content you post will comply with all Meta Platform Policies (if applicable), including Community Standards, and will not violate the proprietary rights of any third party. We reserve the right, but not the obligation, to review, edit, or remove any Contributions at our sole discretion without notice.

4.3 Account Deletion

You may terminate your account at any time by contacting us directly at info@aaryasoftex.com or by using any provided account settings within the Application. Upon your request, we will deactivate or delete your account and information from our active databases.

5. Subscriptions and Payments (If Applicable)

If the Application includes paid features, subscriptions, or purchases:

• Pricing: You agree to pay all charges or fees at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider for any such amounts upon making your purchase.
• Billing and Renewal: Subscriptions are billed on a recurring basis. You must cancel your subscription before it renews to avoid billing of the next subscription fee to your payment method.
• Refunds: Payments are non-refundable, and there are no refunds or credits for partially used subscription periods, except as required by applicable law or as expressly stated in our refund policy.

6. Termination

We reserve the right, without notice and at our sole discretion, to deny access to and use of the Application (including blocking certain IP addresses) to any person for any reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms or of any applicable law or regulation.

7. Governing Law and Dispute Resolution

These Terms and your use of the Application are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Vadodara, Gujarat, India.

8. Disclaimer of Warranties

The Application is provided on an "as-is" and "as-available" basis. You agree that your use of the Application and our services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Application and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties or representations about the accuracy or completeness of the Application's content or the content of any websites or applications linked to the Application.
